Terms of Service

1. Acceptance of Terms

Welcome to ReadyRaider. These Terms of Service ("Terms") constitute a legally binding agreement between you and ReadyRaider ("Company," "we," "us," or "our") governing your access to and use of:

• The ReadyRaider website at readyraider.com (the "Website")
• The ReadyRaider Discord bot (the "Bot")
• The ReadyRaider mobile applications for iOS and Android (the "Mobile Apps")
• All related services, features, and content (collectively, the "Services")

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

2. Description of Services

ReadyRaider provides a platform for gaming communities to organize and manage competitive events. Our Services include:

• Tournaments: Create and manage brackets for single elimination, double elimination, round robin, and Swiss format tournaments
• Leagues: Organize seasonal competitive play with matchweeks, standings, and playoffs
• Squads: Build and manage gaming communities with roles, permissions, and team organization
• Raids: Schedule and coordinate group gaming events with signup tracking and attendance
• Discord Integration: Bot functionality for Discord servers to manage tournaments, announce events, and facilitate community interaction
• Mobile Access: Native mobile applications for managing and participating in events on the go

3. Eligibility

To use our Services, you must:

• Be at least 13 years of age (or the minimum age required in your jurisdiction)
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Services under applicable law
• Not have been previously banned or removed from our Services

If you are under 18, you represent that you have your parent's or legal guardian's permission to use the Services. If you are a parent or guardian permitting a minor to use the Services, you agree to these Terms on behalf of the minor and are responsible for their activity.

4. Account Registration

4.1 Account Creation

To access certain features, you must create an account. You may register using:

• Email and password
• Discord OAuth authentication
• Other supported authentication providers

4.2 Account Responsibilities

You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Not share your account with others
• Immediately notify us of any unauthorized access
• Accept responsibility for all activities under your account

4.3 Account Security

We recommend using strong, unique passwords and enabling two-factor authentication when available. We are not liable for any loss or damage arising from your failure to maintain account security.

5. User Conduct

You agree not to:

• Violate any applicable laws or regulations
• Infringe on the rights of others, including intellectual property rights
• Post or transmit harmful, threatening, abusive, harassing, defamatory, or discriminatory content
• Engage in cheating, match-fixing, or other forms of competitive integrity violations
• Impersonate any person or entity
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use automated tools, bots, or scripts to access the Services (except our official Bot)
• Interfere with or disrupt the Services or servers
• Collect or harvest user data without consent
• Use the Services for commercial purposes without authorization
• Create multiple accounts to circumvent bans or restrictions
• Manipulate tournament results or standings

6. User Content

6.1 Your Content

You retain ownership of content you submit ("User Content"), including tournament names, descriptions, squad profiles, and uploaded images. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content in connection with operating the Services.

6.2 Content Standards

User Content must not:

• Contain illegal, harmful, or offensive material
• Infringe third-party intellectual property rights
• Contain malware, viruses, or malicious code
• Violate the privacy of others
• Promote discrimination or hate speech

6.3 Content Moderation

We reserve the right to remove any User Content that violates these Terms or that we deem inappropriate, without prior notice. We are not obligated to monitor User Content but may do so at our discretion.

7. Discord Bot Terms

7.1 Bot Usage

The ReadyRaider Discord Bot is provided to enhance your Discord server's tournament management capabilities. By adding our Bot to your server, you agree to:

• Grant the Bot necessary permissions to function
• Comply with Discord's Terms of Service and Community Guidelines
• Not use the Bot for spam, abuse, or harassment
• Not attempt to exploit or reverse-engineer the Bot

7.2 Bot Data Collection

The Bot may collect and process data including server IDs, channel IDs, user IDs, message content (for commands only), and tournament-related information. See our Privacy Policy for details.

7.3 Bot Availability

We strive to maintain Bot availability but cannot guarantee uninterrupted service. We may update, modify, or discontinue Bot features at any time.

8. Mobile Application Terms

8.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use our Mobile Apps on compatible devices you own or control.

8.2 App Store Terms

Your use of Mobile Apps is also subject to the terms of the applicable app store (Apple App Store, Google Play Store). In case of conflict, these Terms prevail regarding your relationship with us.

8.3 Updates

We may release updates to the Mobile Apps. Some updates may be required for continued use. You consent to automatic updates unless you disable this feature in your device settings.

8.4 Push Notifications

The Mobile Apps may send push notifications for tournament updates, match results, and other relevant information. You can manage notification preferences in the app settings or your device settings.

9. Tournament & League Terms

9.1 Tournament Organizers

If you create or manage tournaments/leagues, you:

• Are responsible for establishing and enforcing rules
• Must provide accurate tournament information
• Are responsible for resolving disputes between participants
• Must not collect participant data except as necessary for the event
• Must comply with game publisher rules and terms

9.2 Participants

As a tournament or league participant, you:

• Agree to follow tournament-specific rules
• Must compete fairly and maintain competitive integrity
• Accept organizer decisions as final
• Consent to your participation being displayed publicly

9.3 Prizes

ReadyRaider does not facilitate prize distribution. Any prizes offered are the sole responsibility of tournament organizers. We are not liable for prize fulfillment, disputes, or tax implications.

9.4 Game-Specific Rules

Tournaments must comply with the terms of service and competitive rules of the games being played. ReadyRaider is not affiliated with game publishers unless explicitly stated.

10. Premium Subscriptions & Billing

10.1 Subscription Plans

ReadyRaider offers premium subscription plans that unlock additional features. Plans are available on a monthly or annual billing basis. Current pricing and features are displayed on our pricing page.

10.2 Payment Processing

All payments are processed through PayPal. By subscribing, you agree to PayPal's terms of service and authorize recurring charges for your selected billing interval. ReadyRaider does not store your credit card or bank account details.

10.3 Billing & Renewal

• Subscriptions automatically renew at the end of each billing period unless canceled
• You will be charged at the beginning of each billing period
• Pricing may change with reasonable notice; existing subscriptions will be honored until the end of the current billing period

10.4 Cancellation

• You may cancel your subscription at any time through your account settings or PayPal
• Upon cancellation, you retain access to premium features until the end of your current billing period
• After the billing period ends, your account reverts to the free tier

10.5 Refunds

Subscription fees are generally non-refundable. Refund requests may be considered on a case-by-case basis by contacting team@readyraider.com. Refunds, if approved, are processed through PayPal.

10.6 Free Tier

ReadyRaider provides a free tier with limited features. We reserve the right to modify free tier limits at any time. Free tier users are subject to the same Terms of Service.

10.7 Failed Payments

If a payment fails, your subscription may be suspended. We will attempt to notify you via email. If payment is not resolved within a reasonable timeframe, your subscription may be terminated and your account reverted to the free tier.

11. API Terms of Use

11.1 API Access

ReadyRaider provides a public API for authorized integrations. API access requires authentication via API keys generated in your account settings.

11.2 Rate Limits

API usage is subject to rate limits based on your subscription tier. Exceeding rate limits may result in temporary throttling or suspension of API access.

11.3 Acceptable Use

You agree not to:

• Use the API to scrape, harvest, or bulk-collect user data
• Exceed published rate limits or attempt to circumvent them
• Use the API to build a competing service
• Share API keys with unauthorized third parties
• Use the API in a manner that degrades service for other users

11.4 API Key Security

You are responsible for keeping your API keys secure. If you believe an API key has been compromised, revoke it immediately in your account settings. We are not liable for unauthorized use of your API keys.

11.5 API Changes

We may modify, deprecate, or discontinue API endpoints at any time. We will make reasonable efforts to provide advance notice of breaking changes.

12. Communications & Email

12.1 Transactional Emails

By creating an account, you consent to receiving transactional emails necessary for the operation of the Services, including:

• Account-related notifications (welcome, password reset, email verification)
• Event invitations (tournament and league invites from other users)
• Billing notifications (subscription confirmations, payment failures)

Transactional emails cannot be opted out of while your account is active, as they are essential for service operation.

12.2 Email Delivery

We use third-party email service providers to deliver emails. While we make reasonable efforts to ensure timely delivery, we are not responsible for email delivery failures caused by spam filters, incorrect email addresses, or third-party service outages.

13. Intellectual Property

13.1 Our Intellectual Property

The Services, including all content, features, and functionality (excluding User Content), are owned by ReadyRaider and protected by intellectual property laws. This includes our logo, brand name, software, and design.

13.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes. This license does not include the right to:

• Modify, copy, or create derivative works
• Sell, sublicense, or transfer access
• Use for commercial purposes without authorization
• Remove proprietary notices

13.3 Trademarks

"ReadyRaider" and our logo are trademarks. You may not use these without prior written permission.

13.4 Third-Party Intellectual Property

ReadyRaider is an independent platform and is not affiliated with, endorsed by, or sponsored by any game publisher, developer, or rights holder unless explicitly stated. All game titles, characters, logos, trademarks, and other intellectual property referenced on our platform remain the property of their respective owners, including but not limited to:

• Riot Games: Valorant, League of Legends, Teamfight Tactics, Legends of Runeterra
• Valve Corporation: Counter-Strike 2, Dota 2, Deadlock
• Activision Blizzard: Call of Duty, Overwatch 2, World of Warcraft, Hearthstone
• Epic Games: Fortnite, Rocket League
• Electronic Arts: Apex Legends, EA Sports FC, Madden NFL
• Ubisoft: Rainbow Six Siege
• Capcom, Bandai Namco, Nintendo, and others: Street Fighter, Tekken, Super Smash Bros., and other fighting games
• Square Enix: Final Fantasy XIV
• All other game publishers and developers

The use of game names, logos, and related content on ReadyRaider is solely for the purpose of identifying tournaments and events organized by our users. We do not claim ownership of any third-party intellectual property. Tournament organizers are responsible for ensuring their events comply with applicable game publisher guidelines and community use policies.

14. Third-Party Services

Our Services integrate with or link to third-party services including:

• Discord: For authentication and bot functionality
• Twitch: For account linking and streaming integration
• PayPal: For payment processing and subscription billing
• Resend: For transactional email delivery
• Supabase: For cloud hosting, database, and authentication
• Analytics providers: For service improvement

Third-party services are subject to their own terms and privacy policies. We are not responsible for third-party services, and your use of them is at your own risk.

15. Termination

15.1 Termination by You

You may terminate your account at any time through account settings or by contacting us. Upon termination, your right to use the Services ceases immediately.

15.2 Termination by Us

We may suspend or terminate your account at any time, with or without cause, including for:

• Violation of these Terms
• Fraudulent or illegal activity
• Conduct harmful to other users or the Services
• Extended periods of inactivity

15.3 Effect of Termination

Upon termination, your User Content may be deleted and any active premium subscription will be canceled. No refund will be provided for unused portions of the billing period unless required by applicable law. Provisions that by their nature should survive termination will survive, including intellectual property rights, disclaimers, and limitations of liability.

16. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Services will be uninterrupted, secure, or error-free
• Results obtained from the Services will be accurate
• Any defects will be corrected
• The Services will meet your requirements

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, READYRAIDER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

Our total liability for all claims shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

18. Indemnification

You agree to indemnify, defend, and hold harmless ReadyRaider and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content
• Any tournament or event you organize

19. Dispute Resolution

19.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

19.2 Informal Resolution

Before filing a claim, you agree to attempt to resolve disputes informally by contacting us at team@readyraider.com. We will attempt to resolve disputes within 30 days.

19.3 Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property violations.

19.4 Class Action Waiver

You agree to resolve disputes on an individual basis and waive the right to participate in class actions or class-wide arbitration.

20. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated through:

• Email notification to your registered address
• Prominent notice on our Website
• In-app notification

Continued use of the Services after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Services.
